SMARTLINK SERVICE AGREEMENT (Advisor Authority Infrastructure – AAI)

 


1. ACCEPTANCE OF TERMS

By subscribing to or using the SmartLink platform (“Service”), you (“Client”) agree to be bound by this Agreement with GNH Solutions (“Agency”).

This Agreement constitutes a legally binding agreement governing your use of the Service.

 


2. SERVICES

The Agency provides a digital profile and name card platform designed for professional branding, lead generation, and client engagement.

Services include:

    • Digital profile creation and hosting
    • Communication integrations (Call, Email, WhatsApp)
    • Platform maintenance, updates, and support
    • Optional enhancements based on selected service tier

3. SERVICE TIERS

The SmartLink platform is provided on a tiered subscription basis.

Details relating to service tiers, pricing, support levels, and review frequency are presented on the SmartLink service pages and confirmed during the onboarding process.

The Client agrees to the applicable service tier and subscription plan selected at the point of subscription, as recorded in the system-generated agreement summary. The Agency reserves the right to update service tiers, pricing, and support structures from time to time, provided that any changes shall not affect existing subscriptions within their current billing cycle. The Service is offered under the following tiers:

 

Foundation (Digital Presence)

    • Template-based layout
    • Basic profile structure
    • Standard integrations

Professional (Lead Conversion)

    • Conversion-focused layout optimisation
    • CTA structuring and engagement sections
    • Branding alignment

Elite (Authority + Branding + Analytics)

    • Authority positioning (awards, credentials)
    • Analytics tracking and performance insights
    • Advanced customisation within the platform framework

Customisation refers to layout configuration, branding adjustments, and structured content enhancements.
It does not include custom development or new feature creation unless separately agreed.

 


4. FEES AND PAYMENT

4.1 Setup Fee

A one-time setup fee applies based on the selected tier.

 

 

4.2 Subscription

Ongoing services are provided under:

    • Authority Continuity™ (maintenance and security)
    • Continuity + Care™ (includes review and priority support)

Billing options:

    • Annual (paid upfront)
    • Monthly (paid in advance)

5. PAYMENT DEFAULT AND SUSPENSION

If payment is not received:

    • Service may be suspended after notice
    • SLA commitments will be paused during suspension
    • The Agency is not liable for interruptions caused by suspension

Services will resume upon full settlement.

 


6. SERVICE LEVEL AGREEMENT (SLA)

The Agency will use reasonable efforts to maintain service availability and provide support.

SLA does not apply during:

    • Service suspension
    • Client-side modifications
    • Third-party disruptions
    • Force majeure events

7. PLATFORM AND LICENSING

The Agency retains ownership of the SmartLink platform.

The Client is granted a non-exclusive, non-transferable right to use the Service, subject to:

    • Full payment
    • Active subscription

8. DATA PROTECTION

The Agency processes data in accordance with applicable laws, including PDPA Malaysia.

Reasonable security measures are implemented to protect Client data.

 


9. INTELLECTUAL PROPERTY

    • The Client retains ownership of all uploaded content
    • The Agency retains ownership of the platform and system

10. TERMINATION

Either party may terminate the Service with 30 days written notice

Upon termination:

    • Access may be revoked
    • Data export may be requested within a limited period
    • Outstanding fees remain payable

11. LIMITATION OF LIABILITY

The Agency’s liability is limited to the fees paid within the preceding 12 months.

The Agency is not liable for indirect or consequential damages.

 


12. GOVERNING LAW

This Agreement is governed by the laws of Malaysia.

 


13. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement governing use of the Service.

 


14. ELECTRONIC ACCEPTANCE

This Agreement is electronically generated and accepted upon submission, payment, or continued use of the Service.

It constitutes a valid and binding agreement. No physical signature is required.
